Statement of the Executive Board

Statement ex Article 5:25c Paragraph 2 sub c Financial Markets Supervision Act (“Wet op het Financieel Toezicht”)

To our knowledge,

1°.

the Financial Statements (with the Other Information as meant in article 2:392 Civil Code) give a true and fair view of the assets, liabilities, financial position and profit of Heineken N.V. and its consolidated companies;

2°.

the Report of the Executive Board gives a true and fair view of the position as per 31 December 2008 and the developments during the financial year 2008 of Heineken N.V. and its related companies included in its Financial Statements; and

3°.

the Report of the Executive Board describes the material risks Heineken N.V. is facing.
